Terms of Service

This Terms of Service Agreement (the "Agreement") sets forth the terms and conditions on which you (the "Client") has engaged SocialSellinator to perform certain Services as outlined herein. This is a legally binding agreement between you and SocialSellinator. By becoming a SocialSellinator Client, you agree to be legally bound by the terms and conditions set forth in this Agreement. The "Effective Date" of this Agreement shall be the date on which you submit your order for Services to SocialSellinator.

Services

SocialSellinator provides digital marketing services including but not limited to social media management, content creation, blog writing, search engine optimization (SEO), pay-per-click advertising (Google Ads, Facebook/Instagram Ads), LinkedIn lead generation, website development, conversion optimization, and AI search optimization. The specific Services to be provided shall be outlined in the Client's proposal or statement of work.

SocialSellinator Obligations

SocialSellinator agrees to provide the Services in a professional and workmanlike manner consistent with industry standards. SocialSellinator will use commercially reasonable efforts to meet agreed-upon deadlines and performance milestones. SocialSellinator does not guarantee specific results including but not limited to search engine rankings, lead generation volume, conversion rates, or revenue outcomes, as these depend on factors outside our control including market conditions, competition, and Client's own sales processes.

Fees and Payment

Client agrees to pay SocialSellinator the fees as described in the proposal or invoice. Unless otherwise stated, fees are billed monthly in advance and are due within fifteen (15) days of the invoice date. Late payments may incur a charge of 1.5% per month. SocialSellinator reserves the right to suspend Services for accounts more than thirty (30) days past due. All fees are non-refundable except where explicitly stated in writing. Client is responsible for all third-party costs including but not limited to advertising spend, stock photography, premium plugins, and hosting.

Warranty Disclaimers

Except as expressly stated in this Agreement, SocialSellinator disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. SocialSellinator does not warrant that the Services will produce any specific results or that the website will be error-free or uninterrupted.

Indemnity

Client agrees to indemnify and hold harmless SocialSellinator, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from Client's use of the Services, Client's content, or any breach of this Agreement. SocialSellinator agrees to indemnify Client from claims of intellectual property infringement arising solely from SocialSellinator's original work product, excluding Client-provided materials.

Limitation of Liability

In no event shall SocialSellinator be liable for any indirect, consequential, special, or incidental damages, including but not limited to lost profits, lost revenue, or business interruption, arising from or related to the Services or this Agreement, even if advised of the possibility of such damages. SocialSellinator's total liability under this Agreement shall not exceed the total fees paid by Client to SocialSellinator in the three (3) months preceding the claim.

Miscellaneous

This Agreement constitutes the entire agreement between the parties regarding the Services. Any modifications must be in writing and signed by both parties. This Agreement is governed by the laws of the State of California. Any disputes shall be resolved in the courts of Santa Clara County, California. If any provision is found unenforceable, the remaining provisions remain in full force. Either party may terminate this Agreement with thirty (30) days written notice. Upon termination, Client is responsible for fees incurred through the termination date.

Privacy Policy

This Privacy Policy governs the manner in which SocialSellinator collects, uses, maintains, and discloses information collected from users (each, a "User") of the SocialSellinator.com website ("Site"). This privacy policy applies to the Site and all products and services offered by SocialSellinator.

Personal Identification Information

We may collect personal identification information from Users in a variety of ways, including but not limited to: when Users visit our site, register for services, place an order, subscribe to our newsletter, respond to a survey, fill out a form, or otherwise interact with us. The personal identification information we may collect includes: name, email address, phone number, company name, job title, and any other information Users voluntarily provide.

We may collect non-personal identification information about Users whenever they interact with our Site.
